Oferta sprzedaży wierzytelności w postępowaniu BM Kobylin Sp. z o.o. w upadłości

Syndyk masy upadłości Dłużnika BM Kobylin Sp. z o.o. w upadłości (KRS: 0000265094) w postępowaniu upadłościowym prowadzonym przed Sądem Rejonowym w Kaliszu Wydział V Gospodarczy Sekcja ds. upadłościowych i restrukturyzacyjnych, Sygn. Akt. V GUp 8/23, oferuje na sprzedaż w trybie pisemnego składania ofert, w przetargu pisemnym  z wolnej ręki następujące mienie dłużnika:

1. Wierzytelność wobec Farm4Farm Spółka z ograniczoną odpowiedzialnością z siedzibą w Lesznie (KRS: 0000682207) na kwotę 9 528 783,00 zł (słownie: dziewięć milionów pięćset dwadzieścia osiem tysięcy siedemset osiemdziesiąt trzy złote) wraz z należnymi odsetkami ustawowymi za opóźnienie liczonymi od każdej z należności czynszowych w wysokości 288.751,00 zł miesięcznie (począwszy od stycznia 2022 r. do września 2024 r.) od 11-ego dnia każdego miesiąca kalendarzowego, aż do dnia zapłaty.
2. Wierzytelność wobec ARTPOL Trading Spółka z ograniczoną odpowiedzialnością z siedzibą w Lesznie (KRS: 0000837902) na kwotę 909 216,00 zł (słownie: dziewięćset dziewięć tysięcy dwieście szesnaście złotych) wraz z należnymi odsetkami ustawowymi za opóźnienie liczonymi od każdej z należności czynszowych w. wysokości 27.552,00 zł miesięcznie (począwszy od stycznia 2022. R. do września 2024 r.) od 11-ego dnia każdego miesiąca kalendarzowego, aż do dnia zapłaty.

Ceny wywoławcze w I przetargu wynoszą:

1. Wierzytelność wobec Farm4Farm Sp. z o.o. cena wywoławcza wynosi 7 147 000,00 zł
2. Wierzytelność wobec ARTPOL Trading Sp. z o.o. – cena wywoławcza wynosi 682 000,00 zł

It is a condition of the bidder's entry into the tender that:

1) submitting a written offer meeting the conditions of the Regulations in a closed envelope w terminie do 27 lutego  2026 r. do godziny 15:00.

 2) payment of a deposit w kwocie odpowiadającej 1% (słownie: jeden procent) of the net asking price specified in paragraph III section 2 of the Regulations to the bank account kept for BM Kobylin Sp. z o. o. in bankruptcy under the number 53 1090 2590 0000 0001 5629 8344 within the deadline indicated in the Tender Notice, i.e. do 27 lutego 2026 r.  whereby the effective payment of the deposit is deemed to be the recognition of the bankruptcy estate account within the deadline do 27 lutego 2026 r. until 15:00.

The offer should include:

1. the date on which the offer was made,
2. the name and surname, the name of the Bidder, the legal form, the PESEL or NIP number or the number in the National Court Register and, if there is no such number, other data enabling unambiguous identification of the Bidder, the indication of persons authorised to represent the Bidder, the mailing address, telephone number and e-mail address,
3. zaoferowanie ceny nabycia wraz z wymienieniem przedmiotu przetargu, nie niższej od ceny wywoławczej zgodnie z zapisami I przetargu, z podaniem sposobu i terminu jej zapłaty,
4. confirmation of payment of the deposit to the bank account of the bankruptcy estate,
5. the bank account to which the amount of the bid security is to be refunded in the event that the bid of the Bidder concerned is not selected,
6. a statement of familiarity with the factual and legal status of the subject of the tender,
7. a statement that the Tenderer is not one of the persons excluded from the possibility of submitting tenders under Paragraph V(2) of the Rules of Procedure,
8. a statement that the Bidder has read the Rules and Regulations and has no objections to their contents,
9. a statement of awareness of the consequences of the sale of the assets of the Insolvency Estate in the insolvency proceedings,
10. a statement of undertaking to cover all costs related to the conclusion of the agreement for the sale of the subject of the tender,
