Offer for sale of real estate in the proceedings of BM Kobylin Sp. z o.o. in bankruptcy

The bankruptcy trustee of the Debtor BM Kobylin Sp. z o. o. in bankruptcy (KRS: 0000265094) in bankruptcy proceedings conducted before the District Court in Kalisz, V Commercial Division, Bankruptcy and Restructuring Section, File Reference No. V GUp 8/23, offers for sale in a written offer procedure, in a written tender without a tender, the following property of the debtor:

  1. The asset included in the inventory under number 3.1 in the form of: Perpetual usufruct right for plots no. 111/1, 111/2, 216/6, with KW number LE1G/00093127/5, located in Góra at Dworcowa Street, Lower Silesia Province, developed real estate, with a total plot area of 64,026 m2. The market value of the rights was estimated by a property appraiser for the purposes of bankruptcy proceedings as of 10 April 2024 and amounts to PLN 2 815000.00 net plus possible VAT (in words: two million eight hundred and fifteen thousand zlotys 0/100);
  2. Asset included in the inventory under number 3.3 in the form of: Perpetual usufruct right land and property rights to buildings constituting a separate property from the land within the boundaries of the plots with registration numbers 566/32, 577/2 AM-3, with KW number KZ1J/00032976/2 Witaszyce district, Jarocin commune, Jarocin district, with a plot area of 67,785 m2. The market value of the property was estimated by a property appraiser for the purposes of bankruptcy proceedings as of March 27, 2024 and amounts to PLN 3 086 000.00 net plus possible VAT (in words: three million eighty-six thousand zlotys, 0/100);
  3. The asset included in the inventory under No. 3.7 in the form of: Land property developed with a complex of production buildings together with equipment permanently connected with the property within the boundaries of the plot of land with the registration number 9/2 AM-1, with the KW number PO1Y/00041878/4, Bruczków precinct, Borek Wielkopolski commune, Gostyn county with a plot area of 21,864 m2. The market value of the developed land property has been estimated by an appraiser for the purpose of the bankruptcy proceedings as at 27.03.2024 and amounts to 1 712 000,00 PLN net plus possible VAT (in words: one million seven hundred and twelve thousand PLN, 0/100); **For information, the Trustee indicates that for the real estate with plot number 9/2 located in Bruczków, decisions were issued by the District Building Supervision Inspectorate in Gostyń with the numbers: Decision No. PINB-5150.24.2019 of October 18, 2022; Decision No. PINB-5150.23.2019 of October 18, 2022; Decision No. PINB-5150.22.2019 of October 18, 2022; Decision No. PINB-5150.20.2019 of October 18, 2022;
  4. The asset is included in the inventory under number 3.8 in the form of: Real estate property with a complex of buildings production facilities together with devices permanently connected with the property within the boundaries of the plot with cadastral number 75/20 AM-4, with KW number OP1U/00085911/8, Wierzbica Górna district, Wołczyn commune, Kluczbork poviat with a plot area of 30,331 m2. The market value of the developed land property was estimated by a property appraiser for the purposes of bankruptcy proceedings as of 27/03/2024 and amounts to 2 375 000,00 PLN net plus possible VAT (in words: two million three hundred and seventy-five thousand PLN, 0/100);
  5. The asset is included in the inventory under number 3.12 in the form of: Real estate property with a complex of production buildings and accompanying buildings together with devices permanently connected with the real estate within the boundaries of plots with cadastral numbers 52/6, 52/7, 52/8, 52/9, 52/10, 52/12, 52/13, 52/14, 52/15 AM-2, with land and mortgage register number OP1U/00086190/4, Krzyki district, Wilków commune, Namysłów district with a total area of 81,706 m2 of plots. The market value of the developed land property was estimated by a property appraiser for the purposes of bankruptcy proceedings as of 27/03/2024 and amounts to PLN 4 414 000.00 net plus possible VAT (in words: four million four hundred and fourteen thousand zlotys, 0/100);
  6. An asset included in the inventory under number 3.13 in the form of: A real estate property with a complex of production buildings and equipment permanently connected with the property within the boundaries of plots with cadastral numbers 71/1, 72/1, 73/3, 73/8, 73/9, 73/10, 73/11 AM-4, with land and mortgage register number PO1F/00042201/9, Pałczyn district, Miłosław commune, Września district with a total area of 24,560 m2 of plots. The market value of the developed land property was estimated by a property appraiser for the purposes of bankruptcy proceedings as of 27/03/2024 and amounts to PLN 878 000.00 net plus possible VAT (in words: eight hundred and seventy-eight thousand zlotys, 0/100);
  7. An asset included in the inventory under number 3.15 in the form of: Real estate with production, service and farm buildings for agriculture within the boundaries of plots with cadastral numbers 14/21, 14/23, KW number OL1G/00047195/9, district council, Wydminy commune, Giżycko poviat with a total area of 3.7050 ha. The market value of the developed land property was estimated by a property appraiser for the purposes of bankruptcy proceedings as of 14/03/2024 and amounts to PLN 1 530 000.00 net plus possible VAT (in words: one million five hundred and thirty thousand PLN, 0/100); ** For information purposes, the Receiver indicates that for the real estate with plot registration numbers 14/21, 14/23 located in the town of Ranty, decisions were issued by the District Building Supervision Inspectorate in Giżycko with numbers: Decision No. 105.2015 of 30/10/2015; Decision No. 106.2015 of 30/10/2015; Case Number: PINB.70035.16.2015 of 23/09/2015; Case Number: PINB.70035.26.2014 of 04/11/2014.
  8. An asset included in the inventory under number 3.16 in the form of: A real estate property with a complex of production buildings and equipment permanently connected with the property within the boundaries of plots with cadastral numbers 21/1, 27/4 AM-1, KW number PO1Y/00040494/1, Pępowo district, Pępowo commune, Gostyń poviat with a total area of 8,655 m2 of plots. The market value of the developed land property was estimated by a property appraiser for the purposes of bankruptcy proceedings as of 27/03/2024 and amounts to PLN 454 000.00 net plus possible VAT (in words: four hundred and fifty-four thousand PLN, 0/100);
  9. The asset included in the inventory under number 3.18 in the form of: Rights ownership of real estate undeveloped land within the boundaries of the plot with cadastral number 967 AM-3, with land and mortgage register number KZ1R/00036426/7, Rzemiechów district, Kobylin commune, Krotoszyn district with an area of 39,300 m2. The market value of the property was estimated by a property appraiser for the purposes of bankruptcy proceedings as of March 26, 2024 and amounts to PLN 1 305 000.00 net plus possible VAT (in words: one million three hundred and five thousand zlotys, 0/100);
  10. The asset included in the inventory under number 3.19 in the form of: Rights ownership of undeveloped real estate within the boundaries of the plot with registration number 968/4 AM-3, with KW number KZ1R/00033275/2, Rzemiechów district, Kobylin commune, Krotoszyn district with an area of 56,500 m2. The market value of the property was estimated by a property appraiser for the purposes of bankruptcy proceedings as of March 26, 2024 and amounts to PLN 1 642 000.00 net plus possible VAT (in words: one million six hundred and forty-two thousand PLN, 0/100);

In the 6th tender procedure, the trustee allows the possibility of submitting offers for individual properties with a proposed price constituting up to 60% of the estimated value.

The trustee notes that the valuation values for individual properties were given in net amounts and that the valuation price in the 6th tender procedure is equal to the starting price.

It is a condition of the bidder's entry into the tender that:

1) submitting a written offer meeting the conditions of the Regulations in a closed envelope by May 9, 2025, 3:00 p.m.

 2) payment of a deposit in an amount equivalent to 10% (in words: ten per cent) of the net asking price specified in paragraph III section 2 of the Regulations to the bank account kept for BM Kobylin Sp. z o. o. in bankruptcy under the number 53 1090 2590 0000 0001 5629 8344 within the deadline indicated in the Tender Notice, i.e. until May 8, 2025  whereby the effective payment of the deposit is deemed to be the recognition of the bankruptcy estate account within the deadline until May 9, 2025 until 15:00.

The offer should include:

  1. the date on which the offer was made,
  2. the name and surname, the name of the Bidder, the legal form, the PESEL or NIP number or the number in the National Court Register and, if there is no such number, other data enabling unambiguous identification of the Bidder, the indication of persons authorised to represent the Bidder, the mailing address, telephone number and e-mail address,
  3. offering a purchase price, specifying the subject of the tender, not lower than the starting price in accordance with the provisions of the 5th tender, specifying the method and deadline for its payment,
  4. confirmation of payment of the deposit to the bank account of the bankruptcy estate,
  5. the bank account to which the amount of the bid security is to be refunded in the event that the bid of the Bidder concerned is not selected,
  6. a statement of familiarity with the factual and legal status of the subject of the tender,
  7. a statement that the Tenderer is not one of the persons excluded from the possibility of submitting tenders under Paragraph V(2) of the Rules of Procedure,
  8. a statement that the Bidder has read the Rules and Regulations and has no objections to their contents,
  9. a statement of awareness of the consequences of the sale of the components of the Insolvency Estate in the insolvency proceedings, as well as of the consequences and obligations associated with the acquisition of the agricultural property,
  10. a statement of undertaking to cover all costs related to the conclusion of the agreement for the sale of the subject of the tender,
  11. a statement that you acknowledge and understand the manner in which the Receiver will inform you of any auction proceedings,
  12. if the tender is submitted by a proxy, the original power of attorney or a copy of the power of attorney granted, certified in accordance with separate provisions,
  13. a statement of consent to communication by e-mail to the address indicated in the Offer,
  14. signature of the tenderer on the tender,
