FITEN: Conclusion of an agreement with the Company's financing banks

PMR Restrukturyzacje S.A., acting as administrator of FITEN S.A. under restructuring, on 11 April 2017 concluded a tripartite agreement with the company's financing banks, i.e. ING Bank Śląski and mBank, pursuant to which both banks will provide the company with revolving credits of PLN 3 million and PLN 500 thousand under market conditions.

The loan agreements require the approval of the relevant court, but the agreement can already be called a success. In the opinion of the Company's Management Board, the signing of the agreement and the loan agreements is a key event for the success of the restructuring process, and the granting of new financing by the banks demonstrates the confidence of financial institutions in the restructuring efforts.

W nawiązaniu do informacji dotyczących otwarcia postępowania sanacyjnego wobec FITEN S.A. w restrukturyzacji (dalej: Emitent, Spółka, FITEN) w ramach procesu wszczęcia restrukturyzacji Emitenta na podstawie ustawy Prawo restrukturyzacyjne (raport bieżący 08/2016 z dnia 10 sierpnia 2016 r.) Zarząd Spółki informuje, że w dniu dzisiejszym tj. 11 kwietnia 2017 r., uprawniony do działania przez zarządcę PMR Restrukturyzacje S.A., zawarł trójstronne porozumienie (dalej: Porozumienie) z bankami finansującymi Spółkę tj. bankiem ING Bank Śląski S.A. z siedzibą w Katowicach oraz mBank S.A. z siedzibą w Warszawie (dalej Banki) oraz podpisał dwie umowy kredytowe: (i) umowę kredytu z mBank S.A. o kredyt odnawialny na kwotę 3.000.000 PLN na okres do 29.06.2018 roku oraz (ii) umowę kredytu z ING Bank Śląski S.A. o kredyt złotowy obrotowy w formie linii odnawialnej na kwotę 500.000 PLN okres do 29.06.2018 roku. Umowy kredytowe zawarte zostały na warunkach nie odbiegających od warunków rynkowych dla tego typu umów. Zgodnie z przepisami prawa restrukturyzacyjnego, wejście w życie postanowień zawartych umów kredytowych warunkowane jest uzyskaniem zgody sędziego-komisarza, o której uzyskanie FITEN zamierza niezwłocznie wystąpić.

The subject matter of the Agreement is to determine the principles of cooperation between the Company and the Banks, including the establishment of basic terms and conditions for providing financing to the Company and the establishment of collateral in favour of the Banks, with a view to enabling the Company to conduct operational activities during the Sanitation Proceedings and the Company's planned satisfaction of the Banks' receivables under the arrangement. The parties to the Arrangement will strive to maintain the Company's current financing at a level not lower than approx. 70% the level of financing from the date of opening of the Sanitation Proceedings.

In the opinion of the Company's Management Board, the signing of the Memorandum of Understanding and loan agreements is a key event for the success of the restructuring process. In the Company's opinion, the provision of new financing by Banks cooperating with FITEN testifies to the confidence of financial institutions and will allow the Issuer to develop its operations.
